Indeed Crowd

  1. Introduction
  1. Indeed, Inc. (“Indeed”) operates a reward marketplace  for successfully referring job candidates to listed jobs: Indeed Crowd (hereinafter referred to as “Crowd”).
  2. The following Terms of Service (“TOS”) are a legally binding, non-exclusive agreement between you and Crowd. Please read the TOS carefully and be sure you understand it fully. The TOS describes and controls your legal relationship with Crowd, the process for referring an individual to Crowd (a “Referral”), the rights you are granting to Crowd in any information you submit in a Referral, and the uses Crowd may make of the Referral. You acknowledge and agree that when you sign up for Crowd or when you submit a Referral to Crowd you are agreeing to be bound by these terms and conditions.
  1. Your Account Information
  1. You agree to provide true and complete information relating to your Crowd account including but not limited to your name and your email address information, and to update such information as necessary.
  2. By creating a Crowd account you are also creating an Indeed account, to be used on the Indeed website.  If and when you use your Crowd account or any Indeed website, you are bound to this TOS as well as the Indeed Terms of Service , Privacy Policy  and Cookie Policy .  
  3. By opening a Crowd account, you express your consent to the Indeed Privacy Policy , which is incorporated herein by reference and governs Crowd’s collection, processing, storage and transfer of your personal data submitted to Indeed (“Personal Data”). You agree that your Personal Data may be collected, processed, stored, and transferred in accordance with the Indeed Privacy Policy and to jurisdictions other than your home jurisdiction.
  4. Crowd may refuse to establish an account or to close any existing account for any reason including, but not limited to, fraud, intellectual property infringement, violation of a third party’s rights (including the rights of a Referral candidate), violating privacy or publicity rights, or failure to comply with this TOS, as may be amended from time to time, or Indeed’s General Terms of Service , or for convenience.
  5. You acknowledge that you are setting up a personal Crowd Account in your individual capacity.  Companies or businesses or corporations are not allowed to set up Crowd accounts.  All Crowd rewards will be paid to individual persons as set forth below.
  6. You agree and acknowledge that you will not create more than one personal Crowd account.
  7. You agree and acknowledge that you will not create a Crowd account for anyone other than yourself.
  8. You agree and acknowledge that you are not prohibited from participating in Crowd or being paid by Crowd based on your current employer relationship, any agreement with your employer, or any other agreement with a third party.
  9. You agree and acknowledge that you will not make any representation that you are recruiting on behalf of Indeed, working for Indeed, or in any form of co-employment or contractor relationship with Indeed. Additionally, nothing contained herein shall be construed to imply a joint venture, partnership, principal-agent relationship or employer-employee relationship between you and Indeed, and neither Party shall have the right, power or authority to obligate or bind the other in any manner whatsoever, except as otherwise agreed to in writing. If you make any representation to the contrary, Indeed may remove you from Crowd in its sole discretion.
  10. You agree and acknowledge that If you are an independent recruiter, you must make it clear to any potential candidate that you contact, that you are an independent recruiter, and are not associated with the company whose job posting you are contacting the candidate about.
  11. You expressly agree that Indeed does not allow Crowd to be used in a spam-like manner. Indeed reserves the right to disable your Crowd account for any user who, in Indeed’s sole discretion, violates these terms.
  12. You expressly acknowledge and agree that you will not copy or repost the jobs posted on Indeed Crowd for any purpose whatsoever, including but not limited to reposting Indeed Crowd jobs on any other website. If you copy or repost any Indeed Crowd job you lose the opportunity to receive a Reward from Indeed Crowd.
  1. The Indeed Crowd Job List
  1. Crowd will publish a list of jobs that will be shown to all persons with an Indeed Crowd account (“Crowd Job List”).
  2. Indeed shall be free to change the Crowd Job List at its discretion at any time.
  3. Each job on the Crowd Job List shall have a reward amount (“Reward”) published next to the job on the Indeed Crowd Job List page. Indeed shall be free to change the Crowd Job List Reward at any time and Indeed’s determination of the Reward amount is final and binding. However, the amount that was posted when you submitted any particular candidate is the amount you will be paid in the event your referred Candidate first agrees to be considered for the job, and subsequently, that candidate is hired for the job listing.  
  4. In order to claim a Reward as posted, an individual must first be referred to Indeed, then the individual must choose to submit his or her application for the job listing specified, and then the Candidate must be and accepted by the Employer as set forth below.
  1. Candidate Referral Submission Guidelines
  1. Candidate Referral Submission Process:
    1. A Qualified Submitter (as defined below) may submit individuals to Indeed Crowd by submitting a resume approved by the referred individual, or a public resume for the individual. Such resumes are only used for the purpose of determining whether the referred individual wants to participate in Indeed Crowd.
    2. The referred individual will then have an opportunity to decide whether they want to be considered for the posted job in the Crowd Job List referenced by the Qualified Submitter. The individual, if he or she chooses to submit themselves for the job listing, will then be considered a Candidate.
    3. Only once someone is a Candidate, will their resume be considered for the job listing referenced by the Qualified Submitter. If an individual does not wish to become a Candidate, their resume will be purged and will not be used for consideration for the job listing.
  2. Referral submissions are made only through the Indeed Crowd submission form. No other referrals shall be accepted for the program.
  3. A submission referral must include:
  1. The accurate name and accurate contact information, including an email address, for the referred individual
  2. An accurate resume for the referred individual, which you have received either from the individual themselves or from a public source
  3. Any additional information about a referred individual shall immediately disqualify a submission.
  4. If a referred individual does not wish to participate in the Indeed Crowd program, the submitted resume shall be purged and the referred individual will not be considered for any job listings through Indeed Crowd.
  5. NO SUBMITTED REFERRAL INFORMATION WILL BE PASSED TO ANY EMPLOYER BY INDEED. THESE RESUMES ARE ONLY USED TO DETERMINE WHETHER THE REFERRED INDIVIDUAL WANTS TO PARTICIPATE IN THE INDEED CROWD PROGRAM. INDEED WILL ONLY PASS ON TO EMPLOYERS THOSE RESUMES LATER SUBMITTED DIRECTLY BY THE CANDIDATE TO INDEED AT THE CANDIDATE’S REQUEST.
  6. BY SUBMITTING A REFERRED INDIVIDUAL, YOU ACKNOWLEDGE THAT INDEED MAY CONTACT THAT REFERRED INDIVIDUAL BY EMAIL, AND VERIFY THAT YOU ARE AUTHORIZED TO PROVIDE INDEED WITH THAT REFERRED INDIVIDUAL’S CONTACT INFORMATION.
  1. You can submit the same referred individual to multiple jobs
  2. You cannot submit the same referred individual multiple times for the same job. Violation of this rule will mean your immediate termination from the Crowd program.
  3. Crowd reserves the right to determine which candidates’ resumes match the words of a job description and based on such determination, Crowd may choose whether to follow up or not follow up directly with the candidate, to allow them to submit their resume to the Employer.  
  4. If Crowd believes the words of a resume match the words of a job description, Crowd will contact the referred individual and ask them if they are interested in applying for the relevant job.  If the referred individual is so interested, they can elect to submit their resume through a one-click email, at which point they will become a Candidate. The application will be reviewed by an agent of the Employer who has been hired to review applications on behalf of the Employer.  At that point, the party that made the Referral of that referred individual, if they are a Qualified Submitter, is eligible to receive a reward in the event the Candidate is chosen by the Employer for employment.
  5. Whether or not a referred individual becomes a Candidate is solely the decision of the referred individual. If a referred individual chooses to become a Candidate, whether or not they are ultimately hired is solely the decision and responsibility of the Employer.  Indeed does not make hiring decisions on behalf of the Employer, and the Employer will not have knowledge of the fact that the referred candidate came through Crowd.
  6. Once you have submitted a referred individual to Crowd, if that individual agrees to become a Candidate for a specific job, you may be entitled to a Match Reward in the following instances: 1) for roles posted by Indeed Hire, you may be eligible for a Match Reward if your candidate applies for the job, Indeed Hire’s recruiting team reviews your candidate’s application on behalf of an employer, and invites them to an initial phone screen, or 2) for all other jobs, you may be eligible for a Match Reward if your candidate applies and they answer the employer’s screening questions in the application as per the employer’s requirements. Additionally, once you have submitted a referred individual to Crowd for an Indeed Hire job, if that individual agrees to become a Candidate for a specific job, you are only entitled to a Reward if the Candidate is hired for that specific job. If the Candidate is ultimately hired for another job, you are not entitled to any such Reward. For the abundance of clarity, a job is only eligible for a Match Reward or Reward if that reward is clearly listed next to the job description. Indeed reserves the right to remove a Match Reward or Reward from any job, in its sole discretion, at any time.
  7. For opportunities posted by Indeed Prime, you may be eligible for a Match Reward if your candidate applies for admission into Indeed Prime, the Indeed Prime recruiting team reviews your candidate’s application, and your candidate is accepted into the Indeed Prime program.
  1. Referred Individual
  1. If you receive an email from Crowd notifying you that you have been referred to the program by a Qualified Submitter, your referral is only for the purpose of determining whether you want to be considered for Crowd
  2. Upon receiving the email, you have the opportunity to review all materials submitted by the Qualified Submitter. If you choose not to submit your resume, or do nothing upon receiving the referral email from Crowd, your resume will be purged and you will not be considered for employment.
  3. If you choose to participate in Crowd, you may choose to apply to job listing mentioned in the email with the materials submitted by the Qualified Submitter, or you may choose to submit your own materials for the job listing. You are not a Candidate until you choose to participate in Crowd.
  4. Only once you have approved your resume for submission or submitted a different resume, will your resume be considered by any Employer.
  1. Compensation
  1. Each Crowd job listing may be accompanied by a stated Match Reward or Reward amount.
  2. If a Qualified Submitter submits a referred individual who agrees to become a Candidate and allows his or her resume to be forwarded to an Employer, you may be entitled to a Match Reward in the following instances: 1) for roles posted by Indeed Hire, you may be eligible for a Match Reward if your candidate applies for the job, Indeed Hire’s recruiting team reviews your candidate’s application on behalf of an employer, and invites them to an initial phone screen, or 2) for all other jobs, you may be eligible for a Match Reward if your candidate applies and they answer the employer’s screening questions in the application as per the employer’s requirements. Additionally, once you have submitted a referred individual to Crowd for an Indeed Hire job, if that individual agrees to become a Candidate for a specific job and allows his or her resume to be forwarded to an Employer, and the Employer makes an offer which the Candidate accepts, and such Candidate starts employment with the Employer, then the Qualified Submitter shall be paid the Reward amount.
  3. If two parties have submitted the same referred individual who is chosen for a job, only  the party who submitted the referred individual first shall be paid.  Determination of who submitted the candidate first is made in Indeed’s sole discretion.
  4. Indeed reserves the right to pay out any Match Reward or Reward amounts in any form or denomination Indeed chooses, including but not limited to wire transfer or gift card.
  5. A Qualified Submitter:
  1. Must be a US resident (for tax purposes), or a resident of Puerto Rico or the U.S. Virgin Islands
  2. Must not work at Indeed or be an immediate family member of any Indeed employee
  3. Must not submit himself or herself for a job application
  4. Must provide Indeed with a valid and completed W-9 document and ACH form in order to receive a Match Reward or Reward, if requested. If you have not provided Indeed with a valid and completed W-9 and ACH form upon request, you will not receive a Match Reward or Reward.
  1. If a Qualified Submitter is a resident of Puerto Rico or the U.S. Virgin Islands, they must independently seek counsel with regards to any personal income tax liability associated with a Match Reward or Reward. Accordingly, Indeed disclaims any liability as to such tax implications.
  2. All Match Reward or Reward payments are gross amounts and you will be responsible for paying all taxes on the Match Reward or Reward.
  1. Representations and Warranties
  2. You represent and warrant that:
  1. you have the full right, power and authority to enter into this agreement, to fully perform all of your obligations hereunder and to submit the Referral to Crowd;
  2. you are under no legal disability or contractual restriction that prevents you from entering into this agreement
  3. you are at least 18 years of age;
  4. By submitting a referred candidate, you do not violate any applicable laws and/or regulations, and do not infringe the copyright or any other rights of any third party, including, without limitation, trademark rights and the rights of privacy and publicity.
  5. You are responsible for all activities and transactions that occur under your Crowd account
  1. Indemnification
  1. You agree to indemnify and hold Crowd, its subsidiaries, affiliates, directors, officers, and employees harmless from and against any and all claims, losses, damages, costs and expenses (including reasonable attorneys' fees and disbursements) arising out of any breach or claimed breach of any of your representations or warranties or any of your obligations under these TOS.
  1. Miscellaneous
  1. The relationship of the parties is that of independent contractors. There is no relationship of employment partnership, joint venture, or agency created hereby between the parties.
  2. Nothing contained herein prevents a referred individual from independently applying to any job posted Crowd.
  3. Indeed is not acting as an agent on behalf of you, any referred individual, or the Employer.
  4. The TOS contains the entire understanding of the parties with respect to the subject matter covered herein.
  5. If any individual term of the TOS is found to be invalid or unenforceable, such finding will be limited solely to such invalid or unenforceable part, without affecting the remaining parts of such individual term, or any other part of the TOS, so that the TOS shall otherwise remain in full force and effect. The TOS shall be binding upon and shall inure to the benefit of each party and their respective legal representatives, successors in interest and permitted assigns.
  6. Crowd will not be liable for any damages, including actual, indirect, special, or consequential damages arising from the submission of a referred candidate or use of your Referral or the termination of your Account.
  7. Please note that Crowd reserves the right to modify these terms at any time.  Please check for changes from time to time. You agree to be bound by all such changes. If you do not agree with any of the changes, do not continue to use the service.
  8. In the event that you breach any of the terms of this agreement with Crowd, Crowd shall have the right to terminate your account without further notice, and in Crowd’s sole discretion, in addition to Crowd's other rights at law and/or equity.
  9. It is expressly understood and agreed that this TOS is entered into solely for the benefit of the parties herein and that no benefits, rights, duties, or obligations are intended by this TOS as to third parties.
  10. By submitting any Referral to Crowd and/or by participating in the forums, you agree to be bound by this TOS, and Indeed’s Website Terms of Use  and Indeed’s Privacy Policy,  both of which are deemed incorporated herein by this reference.
  11. All matters arising out of or related to your use of Crowd, reward payments to you under Crowd, these TOS or breach, shall be governed by the laws of the State of Texas (without reference to choice of law doctrine). Any legal action or proceeding concerning the validity, interpretation and enforcement of the TOS, matters arising out of or related to this TOS or its making, performance or breach, or related matters shall be brought exclusively in the courts of the State of Texas in Travis County or of the United States of America for the Western District of Texas, and all parties consent to the exclusive jurisdiction of those courts, waiving any objection to the propriety or convenience of such venues
